Terms of Service

1. Agreement

By creating an account or using Proposerly, you agree to these Terms. If you use the service on behalf of an organization, you represent that you have authority to bind it.

2. The service

Proposerly provides AI-assisted tools to respond to RFPs: document parsing, requirement extraction, response generation, compliance and bid analysis, a content library, collaboration, and export. AI output is a draft aid — you are responsible for reviewing accuracy, compliance, and suitability before submitting any proposal.

3. Plans & billing

Paid plans are billed in advance via our payment processor. Plan limits (projects, RFPs/month, content entries, seats) apply as shown on the pricing page. You can cancel anytime and retain access until the end of the current billing period. Fees already paid are non-refundable except where required by law.

4. Acceptable use

You will not: upload unlawful content, attempt to breach security or tenancy boundaries, abuse AI endpoints to generate excessive load, or resell the service without authorization.

5. Your content

You retain all rights to content you upload and generate. You grant us a limited license to process it solely to provide the service. See the Privacy Policy for data handling.

6. AI output disclaimer

AI-generated responses and any "AI-suggested" RFP opportunities are provided as-is and may contain errors or fictional examples. They are not legal, financial, or procurement advice, and are not guaranteed to be accurate or win-rate improving. Verify all facts, citations, and solicitation details independently.

7. Availability & warranty

The service is provided "as is" without warranties of any kind. We do not guarantee uninterrupted availability.

8. Limitation of liability

To the maximum extent permitted by law, our aggregate liability is limited to the fees you paid in the 12 months preceding the claim.

9. Termination

We may suspend or terminate accounts that violate these Terms. You may stop using the service at any time.
